Terms of Service

You must be at least 18 years old and capable of entering into a binding contract to use AVTDB. The service is intended for professional and business use by audio visual technicians and related crew. If you are using the service on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

AVTDB is a workspace for AV technicians that includes job and shift tracking, invoicing, expense management, document storage, public profile hosting, and an AI assistant called “Avie”. The core app and its manual workflows are free. AI-powered features (Avie, document OCR and search, receipt scanning, and image generation) run on prepaid credits.

We may add, remove, or change features at any time. Material changes will be communicated with reasonable notice. The credit cost of AI features, and the price of credit packs, may change with at least 30 days’ notice; changes apply only to future purchases.

You are responsible for keeping your sign-in credentials secure and for any activity that occurs under your account. Accounts are for a single individual — you may not share a single account across multiple people. Notify us immediately at security@avtdb.com if you suspect unauthorized access.

You agree to provide accurate information and to keep it current — especially anything we rely on for billing, identity verification, or SMS notifications.

You agree not to use AVTDB to:

• Violate any law, regulation, or third-party right
• Send unsolicited commercial messages, spam, or otherwise misuse SMS or email
• Process payments on behalf of undisclosed third-party merchants, or otherwise route money in ways that misrepresent the underlying transaction
• Engage in fraud, card testing, money laundering, or any activity prohibited by our payment processor
• Probe, scan, or stress-test the service, or attempt to bypass authentication or rate limits
• Reverse engineer, scrape, or attempt to extract source code or non-public data
• Upload malware, illegal content, or material that infringes intellectual property
• Harass, threaten, or impersonate others through profile contact forms or the AI assistant
• Resell, white-label, or sublicense the service without our written permission

We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.

AI features are paid for with prepaid credits. You buy credits in one-time packs at the prices shown at checkout; there is no recurring subscription. Credits are consumed as you use AI features, do not expire, and have no cash value. Storage expansions purchased with credits are likewise one-time and permanent.

Credit-pack prices and the credit cost of AI features may change with at least 30 days’ notice; changes apply only to future purchases and usage. Taxes are additional and your responsibility. If your credit balance reaches zero, AI features pause until you top up — the rest of the app keeps working.

Avie generates responses based on the data in your account and on third-party AI models (currently OpenAI and Anthropic). Avie’s answers are informational only and may be incomplete, out of date, or wrong. Avie is not a substitute for legal, tax, accounting, or other professional advice. Verify anything important before acting on it.

You agree not to use Avie to generate content that violates these Terms or any third-party right, and you remain responsible for what you do with its output.

You retain ownership of the records you create in AVTDB (jobs, invoices, documents, contacts, etc.). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display that content solely as needed to operate the service for you.

We retain ownership of the AVTDB platform, software, design, and brand. Nothing in these Terms transfers any of our intellectual property to you, except for the limited right to use the service while your account is active.

AVTDB relies on third-party providers (payment, SMS, email, hosting, AI, etc.). Their own terms govern the portions of the service they provide. We are not responsible for their outages, policies, or actions, though we will make reasonable efforts to mitigate disruptions on our side. See our subprocessor list for the current vendors.

You may cancel your account at any time. We may suspend or terminate your access for breach of these Terms, non-payment, fraudulent activity, or a legal/regulatory requirement. For non-flagrant breaches we will normally give you notice and a chance to fix the issue first.

After termination, your data will be deleted on the schedule described in our Privacy Policy. You can export records before cancellation; we are not obligated to retain them after the deletion window ends.

The service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the service will be uninterrupted, error-free, or perfectly secure, or that AI-generated content will be accurate.

To the maximum extent permitted by law, in no event will AVTDB LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — arising out of or related to these Terms or the service, even if we have been advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or related to these Terms or the service is limited to the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) US $100.

You agree to defend, indemnify, and hold harmless AVTDB LLC and its officers, directors, employees, and contractors from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of (i) your use of the service, (ii) your content, (iii) your violation of these Terms or any law, or (iv) your violation of any third-party right.

These Terms are governed by the laws of the state of Texas, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of [Set jurisdiction in Admin → Settings → Company Info] for any dispute that is not subject to arbitration.

Before filing a formal claim, you agree to first contact us at legal@avtdb.com and try in good faith to resolve the dispute informally for at least 30 days. Any dispute that cannot be resolved informally will be resolved by binding arbitration on an individual basis. You and we waive the right to participate in a class action, class arbitration, or representative action — except where prohibited by law, and excluding small-claims court matters.

We may change these Terms from time to time. For material changes we will notify account holders by email or in-app message at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the documents they reference, are the entire agreement between you and us regarding the service.
